- Services: CourseCREEK will provide the eLearning and marketing services described in the attached Statement of Work (SOW). Future services will require new SOWs.

- Payment: You agree to pay the fees outlined in the proposal and invoice. Recurring services will be billed monthly. Payment plans are available.

- Intellectual Property: You retain ownership of all course content you create.

- Confidentiality: This agreement is confidential.

- Termination: This agreement may be terminated with written notice as specified in the full agreement. No refunds are guaranteed.

- Non-Solicitation/Non-Circumvention: You agree not to directly solicit CourseCREEK's contractors or circumvent CourseCREEK to engage them for similar services. Circumventing CourseCREEK will result in immediate termination of this agreement, forfeiture of any refunds, and you will be liable for 100% of any fees paid to our contractors as a result of your circumvention, plus our legal fees.

- Revisions: Limited revisions are included. Additional revisions may be billed.

- Content Delivery: You are responsible for providing necessary content and feedback within specified timeframes. Late delivery may incur additional fees.

- Media Files: You are responsible for providing compatible media files. Reformatting may be billed.
LMS/CMS: Specific page limits apply. Additional pages will be charged.

- Marketing Services: CourseCREEK will strive to support conversions but cannot guarantee specific sales results.

- Meetings: Missed meetings without 48-hour notice may be billed.

- Respectful Conduct: Abusive behavior towards CourseCREEK staff may result in immediate termination without refund.

- Statement of Work:
Hours: You are purchasing 10 hours of support per 30-day cycle. Hours do not roll over.

- Services: ODS includes LMS optimization, strategic insights, consultation calls, and task completion within the LMS ecosystem.

- Communication: We will use a Slack channel for communication and requests.

- Term: This is a 30-day recurring service, cancellable with 30 days' notice.

- Billing: ODS is billed recurringly.

- Limitations: ODS excludes technically advanced tasks, those unrelated to the LMS (video editing, marketing, coding), and changes to your assets outside the hourly limits and platform limitations.

- Additional Hours: If you exceed your purchased hours, you can purchase additional hours at $250/hr.
